Corporate governance broadly refers to mechanisms, processes and relations by which a corporation is controlled and directed. It relates to rights and responsibilities among different participants in the corporation, such as the board of directors, managers, 'shareholders, and other stakeholders. Good corporate governance contributes to sustainable economic development thanks to improvement of corporation activities and its external capital access. This article analyses some provisions in the Law on Enterprises of 2014 relating to corporate governance of public companies and makes proposals to improve law and regulation on such corporate governance in Vietnam.
